Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Teifi websites and related online services, including teifi.com and any pages, forms, resources, content, features, tools, products, or services made available through them (collectively, the “Services”).
In these Terms, “Teifi,” “we,” “us,” or “our” refers to Teifi Digital, Teifi Holding Inc., Teifi Labs, and any of their subsidiaries and affiliates.
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1) Privacy
Your use of the Services is also subject to our Privacy Policy. If there is a conflict between these Terms and the Privacy Policy regarding the collection, processing, or disclosure of personal information, the Privacy Policy controls.
2) Eligibility and account security
You must be legally able to enter into a binding contract to use the Services.
If you create an account (where available), you agree to provide accurate information and keep your login credentials confidential. You are responsible for all activity that occurs under your account.
3) Changes to the Services and Terms
We may update the Services and these Terms from time to time, including to reflect changes to our business, offerings, or legal requirements. The “Last updated” date indicates when these Terms were most recently revised. Your continued use of the Services after changes become effective means you accept the updated Terms.
4) Services, professional services, and separate agreements
Teifi may offer (a) informational content, (b) downloadable materials, (c) consulting, implementation, development, design, integration, and related professional services, and/or (d) software products, apps, and subscriptions (including products offered by Teifi Labs).
Professional services and/or software subscriptions may be governed by separate agreements (e.g., a master services agreement, statement of work, order form, subscription terms, support terms). If you enter into a separate written agreement with Teifi, that agreement will control to the extent it conflicts with these Terms for the applicable services.
5) Purchases, fees, billing, and taxes
If you purchase any Services, you agree to pay all fees and applicable taxes as presented at checkout or in an order form/invoice.
Payment processing: Payments may be processed by third-party payment processors.
Taxes: You are responsible for applicable taxes, duties, and similar governmental assessments unless otherwise stated in writing.
No set-off: Unless required by law or explicitly agreed in writing, payments are non-refundable and not subject to set-off.
6) Refunds and cancellations
Refund and cancellation terms may vary based on what you purchase and may be described at checkout, in an order form, or in a separate agreement. If no refund policy is provided for a purchase, fees are non-refundable to the extent permitted by law.
7) Shopify platform and third-party services
The Services may be hosted or enabled by third parties (for example, Shopify). Third-party services and websites may have their own terms and policies. Teifi is not responsible for third-party services and does not control them.
8) Intellectual property
Unless stated otherwise, the Services and all content and materials on them—including text, graphics, logos, designs, videos, software, documentation, templates, and other works—are owned by Teifi or its licensors and are protected by intellectual property laws.
Subject to your compliance with these Terms, Teifi grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.
You may not:
copy, modify, distribute, sell, lease, or create derivative works of the Services;
reverse engineer or attempt to extract source code, except to the extent permitted by law; or
remove proprietary notices.
9) User content and feedback
If you submit or upload content to the Services (e.g., form submissions, comments, files, requests, or other materials) (“User Content”), you represent you have the rights to do so.
You grant Teifi a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, and display User Content solely as necessary to provide and improve the Services and to perform our obligations to you.
If you provide suggestions, ideas, or feedback, you grant Teifi the right to use them without restriction or compensation.
10) Acceptable use
You agree not to use the Services in a way that:
violates any applicable law or regulation;
infringes intellectual property or privacy rights;
is harmful, fraudulent, deceptive, or threatening;
interferes with the security, integrity, or performance of the Services;
introduces malware or attempts unauthorized access;
scrapes, harvests, or collects data from the Services without permission; or
abuses, harasses, or harms others.
We may suspend or terminate access if we reasonably believe you violated these Terms.
11) Confidentiality
If you and Teifi exchange confidential information in connection with professional services or a commercial relationship, confidentiality obligations may be covered by a separate agreement (e.g., NDA, MSA). If no separate agreement exists, neither party will disclose the other’s confidential information except as necessary to perform the Services or as required by law, and each party will use reasonable care to protect it.
12) Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEIFI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Teifi does not guarantee that the Services will be uninterrupted, secure, error-free, or that any results, outcomes, or integrations will meet your requirements.
The Services may include general information and are not legal, accounting, tax, or other regulated professional advice.
13) Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
TEIFI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.
TEIFI’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TEIFI FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE EVENT, OR (B) CAD $100.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
14) Indemnity
You agree to defend, indemnify, and hold harmless Teifi and its directors, officers, employees, contractors, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to your use of the Services, your User Content, or your violation of these Terms.
15) Termination
We may suspend or terminate your access to the Services at any time if:
you violate these Terms,
we are required to do so by law, or
we discontinue the Services.
Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnity, and Governing Law) will survive.
16) Governing law and venue
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You agree that any dispute arising out of or relating to these Terms or the Services will be brought in the courts located in Vancouver, British Columbia, and you consent to their jurisdiction.
(If you have a separate written agreement with Teifi that includes dispute resolution terms, that agreement will control for disputes covered by it.)
17) General terms
Severability: If any provision is found unenforceable, the rest will remain in effect.
No waiver: Failure to enforce a provision is not a waiver.
Assignment: You may not assign these Terms without Teifi’s prior written consent. Teifi may assign these Terms as part of a merger, acquisition, reorganization, or sale of assets.
Entire agreement: These Terms, plus any incorporated policies and any separate agreements you enter into with Teifi, form the entire agreement regarding the Services.
